Mr. Manish Jain

With over 30 years of legal and professional experience in corporate and legal laws, Mr. Manish Jain specializes in interpreting and applying complex legal frameworks across Corporate Law, Insolvency and Bankruptcy Code (IBC), and restructuring processes. Known for his strong interpersonal and communication skills, Mr. Manish Jain manages complex responsibilities with precision and efficiency, ensuring accuracy in all aspects of his work. As a self-motivated professional, he possesses advanced research skills and a meticulous attention to detail, alongside proven expertise in legal drafting.

Mr. Manish Jain is the author of two widely acclaimed books on Employee Stock Option Plans and Share Capital, published by the renowned Bharat Law House. These works have been well-received by legal professionals and scholars alike.

A frequent speaker at both national and international seminars hosted by the Institute of Company Secretaries of India (ICSI), Mr. Manish Jain also offers comprehensive corporate law advisory services. His experience spans advising companies on corporate issues, conducting secretarial audits, and providing strategic consultation on matters such as mergers, de-mergers, listings, delistings, oppression, and mismanagement.

As a registered Insolvency Professional, Mr. Manish Jain has managed various assignments and offers expert legal opinions on insolvency-related matters. Well-versed in court procedures, he represents companies before the National Company Law Tribunal (NCLT) and provides guidance to legal teams for cases before NCLAT, High Courts, and the Supreme Court. Additionally, he provides advice on RBI matters, including compounding, FEMA, and NBFC compliances.

CS Raina Goyal

With over seven years of experience in corporate secretarial services, CS Raina Goyal is the Head of Department at CS Manish Jain & Co., Indore, since July 2018. Specializing in corporate governance, mergers and acquisitions, and regulatory compliance under the Companies Act, 2013, SEBI regulations, and other laws, she has successfully managed high-profile assignments such as mergers, share forfeiture, issuance of convertible debentures, and financial statement revisions. She also oversee regulatory compliance for listed companies, conduct AGMs and Board meetings, and manage complex legal procedures like the conversion of public companies to private entities.

She is also proficient in FEMA and RBI compliance, including facilitating right issues to foreign corporate bodies and managing filings related to foreign investments and liabilities. In addition, she has extensive experience with the Insolvency and Bankruptcy Code, 2016, reconstitution of LLPs, and drafting various corporate agreements. Known for her strong legal acumen, attention to detail, and adaptability, CS Raina Goyal ensures seamless communication with clients and stakeholders.
